About these Terms
These Terms of Use ("Terms") govern your access to and use of the Cipher platform — including the game creation tools, the Cipher Store, creator profiles, Cipher Keys, and all related services (collectively, the "Platform"), operated by Ambitionz Pte. Ltd. ("Cipher", "we", "us", or "our").
By creating an account, accessing the Platform, or using any part of it, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Eligibility and account creation
1.1Minimum age
You must be at least 13 years of age to create an account or use the Platform. By creating an account, you represent and warrant that you are 13 years of age or older. Cipher does not knowingly collect personal information from users under the age of 13. If we become aware that a user is under 13, we will suspend that account and delete associated data in accordance with applicable law.
1.2Minor users (ages 13–17)
Users between the ages of 13 and 17 may use the Platform. Use of the Platform by a minor implies that a parent or legal guardian has reviewed and accepted these Terms on the minor's behalf. In jurisdictions where contracts with minors are voidable, parents and guardians are responsible for supervising their minor's use of the Platform.
1.3Account responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Cipher immediately of any unauthorized use of your account. Cipher is not liable for any loss or damage arising from your failure to maintain account security.
1.4Accurate information
You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.
Intellectual property — Creator ownership
2.1What creators own
You retain ownership of the intellectual property you create on the Platform. This includes the characters, worlds, narratives, visual designs, and other creative elements you have authored or directed during your use of Cipher's game creation tools ("Creator Content"). Ownership of your creative output is real and portable: you may claim, license, or sell your IP independently of the Platform.
2.2Platform infrastructure
At this stage of the Platform's development, games built on Cipher run on Cipher's infrastructure and are not available for export. Your ownership of the creative IP in your games is not affected by this limitation. Cipher intends to provide export functionality in a future version of the Platform.
This is a stated intent only and does not constitute a contractual obligation or create enforceable rights.
2.3What Cipher owns
Cipher owns the Platform, all underlying AI systems (including Cipher Brain), the generation infrastructure, the CIPHER Rank Algorithm, all platform data and analytics, and all software, interfaces, and technology that make the Platform function. Nothing in these Terms transfers any of these rights to you.
AI-generated assets — Ownership and licenses
3.1Creator ownership of output
You own all content generated during your Cipher sessions in response to your prompts, including characters, worlds, sounds, and animations produced by Cipher Brain. This ownership is subject to the license you grant to Cipher as described in Section 3.2.
3.2License back to Cipher
By using the Platform, you grant Cipher a non-exclusive, worldwide, royalty-free, sublicensable license to use your Creator Content for the following purposes:
- Platform improvement and AI model training.
- Display and showcasing within the Platform and in editorial contexts on the Cipher Store.
- Marketing and promotional materials, including investor presentations and press use, with creator credit.
3.3Paid advertising opt-out
You may opt out of your Creator Content being used in paid advertising placements. This opt-out is available in your account settings and takes effect within 30 days of your request. It does not affect the other uses described in Section 3.2.
3.4Hard limits
Cipher will not sell your Creator Content to third parties. Cipher will not license your Creator Content to external AI training datasets without your explicit prior written consent.
License to Cipher for published games
4.1Publishing license
By publishing a game on the Cipher Platform, you grant Cipher a non-exclusive, worldwide, royalty-free license to:
- Host, display, and distribute your game to players via the Platform.
- Feature your game editorially on the Cipher Store front page and in curated collections.
- Use screenshots, clips, and metadata from your game in Cipher marketing materials, with creator credit.
- Include your game in investor presentations and press materials.
4.2Paid advertising opt-out
You may opt out of your published game being used in paid advertising placements. This opt-out is available in your account settings and does not affect the other license rights in Section 4.1.
4.3Scope of license
This license does not transfer ownership of your game to Cipher. It does not permit Cipher to sell your game or license it to third parties. It is limited to the uses described in Section 4.1.
Creator earnings and revenue share
5.1Revenue share rate
The revenue share rate applicable to your published games is disclosed in the Platform's publish flow and creator dashboard. The rate is not set out in these Terms and may be updated by Cipher from time to time in accordance with Section 5.2.
5.2Notice of rate changes
Cipher will provide at least 60 days written notice to affected creators before any change to the revenue share rate takes effect. For creators who have already published games on the Platform, the new rate applies only to transactions completed on or after the effective date of the change. Earnings on transactions completed before the effective date are paid at the rate that was in effect at the time of the transaction.
5.3Payment timing
Creator earnings are paid on a weekly cycle via Stripe Connect. Payouts require completion of Stripe Connect onboarding. There is no minimum balance required to receive a payout.
5.4Paused payments
If your account is suspended pending an investigation under Section 8 or Section 9 of these Terms, payment of accrued earnings will be paused during the investigation period. If your account is cleared, all withheld earnings will be paid out in full. If the suspension is confirmed as a violation, earnings attributable to the violating content will be forfeited. Earnings from other legitimately published games will be paid out.
Cipher Keys and payments
6.1Nature of Cipher Keys
Cipher Keys are a virtual currency used within the Platform to unlock paid games and content. Keys are purchased through Stripe. Keys have no cash value and cannot be exchanged for real currency.
6.2Purchases are final
All Cipher Keys purchases are final and non-refundable, except where required by applicable law. If you experience a technical issue that prevents you from accessing content you have purchased, please contact Cipher support for resolution.
6.3Keys do not expire
Unused Cipher Keys do not expire and remain in your account indefinitely, including after periods of inactivity.
6.4Account suspension and forfeiture
If your account is suspended for violation of these Terms, any unused Cipher Keys in your account will be forfeited. No refund will be provided in this circumstance.
Creator data and audience portability
7.1Player consent requirement
During player account creation, players are presented with an explicit opt-in to allow creators they follow to contact them by email. This option is unchecked by default. Only players who affirmatively opt in are included in creator export lists.
7.2Creator export rights
Creators who have at least one published game on the Platform may export a list of email addresses for players who have opted in to creator contact. Exports are available at any time from the creator dashboard and are provided in standard CSV format.
7.3What is not portable
The following data is not included in creator exports and remains platform data owned by Cipher:
- Platform engagement data (including session counts, play time, and Cipher Points earned).
- Follower usernames.
- Player profile information.
IP violations and takedowns
8.1Creator representations
By publishing content on the Platform, you represent and warrant that:
- You own or hold a valid license to all content included in your game.
- Your game does not infringe any third-party intellectual property, including trademarks, copyrights, patents, or rights of publicity.
- Your game does not include unlicensed music, brand assets, likenesses of real people, or trademarked characters without authorization.
- You have the right to grant Cipher the licenses described in Sections 3 and 4 of these Terms.
8.2Cipher's reserved rights
Cipher reserves the right to remove any game or content from the Platform immediately and without prior notice upon receipt of a credible IP complaint. Cipher may suspend the associated creator account pending investigation. Cipher will cooperate with rights holders in any valid takedown process.
8.3Counter-notice process
If you believe a takedown was made in error, you may submit a counter-notice within 10 business days of the removal. A valid counter-notice must include:
- A statement of your good faith belief that the content was removed in error.
- Identification of the removed content.
- Your contact information.
- A declaration that the information in the counter-notice is accurate.
Cipher will review and respond to a valid counter-notice within 10 business days of receipt. If the original complainant does not initiate further action within that period, Cipher may restore the content at its discretion.
8.4No liability for creator violations
Cipher is not liable for damages arising from IP violations committed by creators. You agree to indemnify, defend, and hold harmless Cipher and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from your content or your breach of these Terms.
Prohibited content
9.1Absolute prohibitions
The following content may not be built, published, or distributed on the Platform under any circumstances:
9.2Platform-specific prohibitions
The following content is also prohibited on the Platform:
- Games that deceive players about their free versus paid status, including false "free" labelling on games that require payment to access any content.
- Games that collect, store, or transmit player data outside of Cipher's sanctioned data infrastructure.
- Games or creator profiles that impersonate other Cipher creators, brands, or public figures.
9.3Enforcement
Cipher may remove prohibited content immediately and without notice. Repeated or serious violations will result in permanent account termination. No refund of Cipher Keys or accrued earnings will be provided on termination for prohibited content.
Disclaimer of warranties
The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. Cipher does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. To the fullest extent permitted by applicable law, Cipher disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by applicable law, Cipher and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, even if Cipher has been advised of the possibility of such damages.
Cipher's total liability for any claim arising out of these Terms or your use of the Platform will not exceed the greater of (a) the total amount you paid to Cipher in the 12 months preceding the claim or (b) SGD 100.
Governing law and dispute resolution
12.1Governing law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of law principles.
12.2Dispute resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, will be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its prevailing arbitration rules. The seat of arbitration is Singapore. The language of arbitration is English. The arbitral tribunal will consist of one arbitrator.
12.3Injunctive relief
Nothing in Section 12.2 prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
General provisions
13.1Entire agreement
These Terms, together with Cipher's Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Cipher regarding your use of the Platform and supersede all prior agreements and understandings.
13.2Amendment
Cipher reserves the right to update these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and, where feasible, by notifying you by email. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms.
13.3Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
13.4No waiver
Cipher's failure to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.
13.5Assignment
You may not assign or transfer your rights or obligations under these Terms without Cipher's prior written consent. Cipher may assign its rights and obligations without restriction.
